Welcome to Franchise Systems Ai. Please read these Terms of Service (“Terms”) carefully before accessing or using our website, platform, and services (collectively, the “Application”). These Terms, along with our Privacy Policy and any Additional Terms that may apply, govern your use of the Application. By accessing or using the Application, you (“User”) agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Application.

1. Relationship to Master Service Agreement

If you are accessing the Application through an Organization (such as a franchisor or franchise brand) that has a separate written agreement or Master Service Agreement ("MSA") with us, that MSA governs the commercial relationship between us and your Organization. In the event of any conflict between these Terms and the MSA, the MSA controls. These Terms govern your individual use of and access to the Application.

2. Definitions
For the purposes of these Terms:

  • “User Content”: Any data, materials, or content uploaded, submitted, or created by Users on the Application.‍
  • “Authorized User”: An individual with a valid account and proper authorization to access the Application.‍
  • “Prohibited Conduct”: Actions that violate these Terms, applicable laws, or the integrity of the Application.‍
  • “Services”: All features, functionalities, and tools made available on the Application.‍
  • "AI Services": Third-party artificial intelligence and machine learning services integrated into the Application, including but not limited to OpenAI LLC (ChatGPT) and Langfuse GmbH used to provide intelligent features such as content generation, analysis, automation, and data synchronization.

3. Eligibility‍

By accessing the Application, you represent and warrant that:

  • You are at least 18 years old and capable of entering into a legally binding agreement to use the Application.
  • You meet the eligibility criteria outlined above.
  • You will comply with these Terms and applicable laws.

4. License Grant
We grant you a non-exclusive, non-transferable, and revocable license to use the Application for your internal business purposes, subject to these Terms. This license does not grant ownership or any rights to the Application’s underlying technology or intellectual property.

5. Account Creation and Security

5.1. User Accounts:
To access certain features, you must create an account. You agree to:

  • Provide accurate and current information.
  • Protect the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized account access.

5.2. Organization Affiliation:
If you are accessing the Application on behalf of an Organization, you acknowledge that all uploaded content remains the property of the Organization.

6. Use of the Application

6.1. Permitted Use:
The Application may be used solely for lawful purposes related to franchise management.

6.2. Prohibited Conduct:

You agree not to:

  • Use automated tools (e.g., bots) to access or scrape the Application.
  • Upload harmful code, malware, or content that violates laws.
  • Engage in activities that disrupt the Application’s functionality.
  • Share, transfer, or expose OAuth tokens, API keys, or access credentials to unauthorized parties.

7. Third-Party Integrations & AI Services  

General integrations such as Google APIs, payment gateways, and communications platforms; and AI Services:  including but not limited to OpenAI LLC (ChatGPT) and Langfuse GmbH.

  • Your use of any third-party service, AI or otherwise, is subject to that provider’s own terms and policies. We disclaim liability for outages, limits, or acts of those providers.
  • Data Processing Purpose: Data transmitted to AI Services (including prompts, documents, metadata, and error logs) is processed solely to deliver features and outputs to you. We do not use your data to improve or train AI models (see "No Training" above). OAuth tokens for email/calendar integrations are encrypted in transit and at rest, used only for authorized sync operations, and get revoked upon disconnection or account termination.
  • No Training: We do not use your data to train, fine-tune, or improve any AI models. Data sent to AI Services is processed solely to generate outputs for your immediate use within the Application. OpenAI and other AI providers process your data under limited-retention policies that prohibit using your data to train or improve their models.
  • AI Output Disclaimer: AI-generated content, recommendations, and analysis are provided for informational purposes only and are not professional advice. AI output may be inaccurate, incomplete, outdated, or fail to comply with applicable laws or regulations. You must independently verify all AI output before relying on it for business, legal, financial, or operational decisions. See Section 21 for full AI disclaimers and limitations of liability.
  • Retention windows for the AI Services are:
    • OpenAI: up to 30 days;
    • Langfuse: project-defined, minimum 3 days;
  • All third-party services listed above act as our sub-processors. We will give you at least 30 calendar days’ notice before adding or replacing a sub-processor so you may object
  • Objection process: If you object to a new or replacement sub-processor, notify us in writing within the 30-day notice period. Your sole remedy is to disable AI Services as described in the Opt-out provision below.
  • Acceptable-use: Do not submit content that violates any provider’s published usage policies. For AI Services specifically, do not supply payment-card data, health information, or legally protected biometric or children’s data. Additionally, do not submit: (i) personal data revealing racial or ethnic origin, political opinions, religious beliefs, trade union membership, genetic data, or data concerning sex life or sexual orientation (GDPR Article 9 "special categories"); (ii) Social Security numbers, government-issued ID numbers, or other sensitive personal identifiers; (iii) content intended to reverse-engineer, benchmark, or train competing AI models; or (iv) bulk data processing that violates applicable privacy laws. We may share offending data with the relevant provider for trust-and-safety review.
  • Opt-out: Workspace admins can disable AI Services by emailing support@franchisesystems.ai; we will confirm the request within 2 business days and complete the disablement within 30 calendar days.

8. Service Availability and Modifications
While we aim for high uptime, the Application may experience downtime due to maintenance or unforeseen circumstances. We reserve the right to modify or discontinue the Application or its features at any time.

9. Privacy and Data Security
Your use of the Application is governed by our Privacy Policy, which outlines how we collect, use, and protect your data. Although we implement stringent security measures, you acknowledge that no system is entirely secure.

10. User Content and Ownership

  • You retain ownership of User Content. By uploading it to the Application, you grant us a worldwide, non-exclusive license to use it for service delivery.
  • You represent that your content does not infringe on third-party rights.

11. Refund and Billing Policy

  • Subscription fees are non-refundable, except where required by law.
  • For billing disputes, contact us at support@franchisesystemai.com within 30 days of the issue.

12. Compliance and Accessibility
We are committed to complying with applicable accessibility laws and enabling inclusive access to our Application. If you have accessibility-related concerns, contact us for assistance.

13. Termination
We may immediately suspend or terminate your access to the Application if you violate these Terms, engage in conduct that creates risk for the Application or other users, or as required by applicable law. 

If your Organization's subscription or agreement with us ends or is terminated, your access to the Application will also end. 

Upon termination of your access, any licenses granted to you under these Terms will cease. Data associated with your account will be handled in accordance with our Privacy Policy and any agreement between us and your Organization.

14. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, or technical failures.

15. Dispute Resolution

If you are accessing the Application as part of an Organization with a separate agreement with us, disputes between your Organization and us are subject to the dispute resolution provisions of that agreement.

For disputes relating solely to your individual use of the Application: you agree that any disputes will be resolved in accordance with the laws of Delaware as specified in Section 16 below. To the extent permitted by law, you waive any right to participate in a class action or representative proceeding.

16. Governing Law
These Terms are governed by the laws of Delaware, without regard to its conflict of laws principles.

17. Feedback Policy
By providing feedback or suggestions, you grant us the right to use them without restrictions or compensation.

18. Compliance with External Policies
You agree to adhere to external policies associated with integrated services, including compliance with Google API Services User Data Policy.

19. Branding and Customization 

Any branding or customization of the Application (including logos, colors, or company names) does not transfer ownership of the Application or its underlying technology to you or your Organization.

20. Modifications
We may update these Terms periodically. For material changes (including changes to AI Services, data processing, indemnification, or dispute resolution), we will provide at least 30 days' notice via email or in-Application notification. Changes will be effective 30 days after notice unless you terminate your account. Continued use after the effective date constitutes acceptance of revised Terms. Non-material changes (such as clarifications, formatting, or contact information updates) are effective upon posting.

22. AI-Generated Content; Ownership & Accuracy  

  • Ownership: You retain all rights to content you upload. To the extent any AI-generated output constitutes copyrightable work under applicable law (which is uncertain and evolving), we hereby assign to you all right, title, and interest in such output. If the output is deemed non-copyrightable or incorporates your pre-existing content, you receive it under an unrestricted, royalty-free license to use, modify, and distribute.
  • Accuracy & IP disclaimer: AI output is delivered "AS IS" without warranties of any kind (see also disclaimer in Section 6). It may be incomplete, inaccurate, outdated, or non-compliant with current laws or regulations. AI output may incorporate content protected by third-party intellectual-property rights; we disclaim any warranty of non-infringement or that output is fit for any particular purpose. AI output is not legal, financial, tax, medical, or professional advice and must not be relied upon as such. You are solely responsible for independently validating and verifying any AI output before relying on it for any purpose.
  • Third-Party AI Dependencies: Availability of AI Services depends on third-party providers ( including but not limited to OpenAI, Langfuse). If an AI provider experiences an outage, rate-limiting, or service degradation beyond our reasonable control, such events are excluded from any uptime SLA calculations and service-credit accruals. We will use commercially reasonable efforts to notify you of extended AI service disruptions and provide status updates.
